一、商学院成立背景

I. Background of Academy of Commerce
      中国经过40年改革开放，国家综合国力大幅度提升，2010中国已成为全球第二大经济体，据世界权威机构预测：到2030年，中国GDP将超过美国。
      40 years of reform and opening up has contributed to great enhancement of China’s comprehensive national strength, and enabled China to become the second largest economy in the world in 2010. According to the global authorities, China’s GDP will surpass that of the United States by 2030.
      中国正在发生翻天覆地的社会变革，上海是中国的国际经济、国际金融、国际贸易、国际航运、以及科技创新五大中心，中国首个自由贸易区就在上海临港。上海市国际化大都市地位确定了在职人员高级人才培训和国际教育事业方兴未艾的发展前景。
      China is undergoing tremendous social changes. As China’s five major centers of international economy, international finance, international trade, international shipping, and scientific and technological innovation, Shanghai is home to China’s first free trade zone situated in Lingang. The status of Shanghai as an international metropolis determines the ascendant development prospects of in-service top talents training and international education.
      同时，上海市教育国际化程度非常之高，传统教育除了本土的复旦大学、上海交通大学等66所高校之外，哈佛大学、康奈尔大学、纽约大学、密西根大学等几十所世界顶级名校进人上海合作办学。
      Besides, Shanghai features very high degree of education internationalization. In addition to 66 local universities of traditional education such as Fudan University and Shanghai Jiaotong University, dozens of world-class famous universities including Harvard University, Cornell University, New York University and University of Michigan have set foot in and undertaken joint school-running program in Shanghai.
      但是，在职高级人才培训和在职高级管理人才的学历教育市场需求很大，教学质量也良莠不齐。
      However, there is a great market demand for in-service top talents training and in-service senior management personnel’s academic education, and the teaching quality varies greatly.
      香港商学院除了本土人才教育之外，2017年秋季在上海交通大学合作，引进世界顶级名校培养机制，首期启动在职管理人员工商管理博士研究生（DBA）区块链与数字经济方向学历教育。2018年春季第二届工商管理博士研究生（DBA）在中国金融信息中心开学。2019年第三届、第四届在职管理人员工商管理博士研究生（DBA）2019年分别在广州中山大学、南京大学开学。
      In addition to local talent education, Hong Kong Academy of Commerce cooperated with Shanghai Jiaotong University in the autumn of 2017 to introduce the training mechanism of the world’s top universities, and initiated in-service management Doctor of Business Administration (DBA) block chain and digital economy education. In the spring of 2018, the 2nd Doctoral Degree of Business Administration (DBA) program kicked off in China Financial Information Center. In 2019, the 3rd and 4th in-service management Doctoral Degree of Business Administration (DBA) programs were initiated in Guangzhou Sun Yat-sen University and Nanjing University respectively in 2019.

二、商学院历史延革
II. Historical Evolution of Academy of Commerce
       香港商学院（Hong Kong Academy of Commerce 简称HKAC）是在香港德明学院（Hong Kong Tak Ming College）属下经过香港特别行政区政府批准注册成立的商学、经济和金融学专业高等学府，是国际经济与商业精英人才教育高等商学院。
       Hong Kong Academy of Commerce (“HKAC” for short) is an institution of higher education focusing on commercial science, economy and finance established under Hong Kong Tak Ming College and approved by the Government of the Hong Kong Special Administrative Region, and an academy of commerce cultivating and educating international economic and commercial elite talents.
       德明教育机构成立于1931年，由当时的国民政府两广总督陈济棠将军，胡汉民等社会名流创立。以孙中山先生嘉名“德明”为校名，并且以孙中山先生的生日为校庆。连续创办香港德明学院及德明技术学院，1965年8月1日,德明教育机构正式更名为德明财经科技大学。
       Established in 1931 by General Chen Jitang, Viceroy of Guangdong and Guangxi of National Government, Hu Hanmin and other noted public figures, Tak Ming Educational Institution is named after Mr. Sun Yat-sen’s good name of “Tak Ming” and with his birthday as the school celebration day. Hong Kong Tak Ming College and Tak Ming Technical College were established successively. On August 1, 1965, Tak Ming Educational Institution was formally renamed Takming University of Science and Technology.

三、政府批准注册
III. Government Approval for Registration
       2017年6月20日，在香港特别行政区政府教育署正式批准在香港德明学院（Hong Kong Tak Ming College）属下注册成立“香港商学院”（英文名：Hong Kong Academy of Commerce；简称：HKAC）。
       On June 20, 2017, “Hong Kong Academy of Commerce” (“HKAC” for short) was officially approved by the Education Department of the Government of the Hong Kong Special Administrative Region to be registered and incorporated under Hong Kong Tak Ming College.

IV. Legal Basis
       根据香港特别行政区政府于1988年2月5日当时有效的《香港法例第622章规定》注册成立的香港商学院（Hong Kong Academy of Commerce；简称：HKAC），具有独立法人机构合法资质的高等教育法团，HKAC具有高等教育机构的合法性。
       Registered and established under Chapter 622 of Laws of Hong Kong of the Government of Hong Kong Special Administrative Region, which was then in force on February 5, 1988, Hong Kong Academy of Commerce (“HKAC” for short) is a higher education corporation with legal qualifications as an independent legal entity, and has the legitimacy of higher education institution.

五、机构性质
V. Institution Nature
       香港受中华人民共和国特别行政区政府管理，香港政府批准注册的HKAC性质：专属在职高级人才培训和国际高等学历教育机构。
       Hong Kong is administered by the Government of the Special Administrative Region of the People’s Republic of China. The nature of HKAC approved by Hong Kong Government is exclusive in-service top talents training and international higher education institution.

         HKAC motto: sincere belief and diligent study. In line with the school-running concept of “innovative elite”, we focus on cultivating high-quality senior business management talents. In terms of teaching, we are devoted to training students’ competitiveness in the workplace and enhancing their contribution to enterprises. HKAC inherits the original intention of Takming Educational Institution to “cultivate professional talents for China and provide business elites to enterprises”, further integrates advantages, and cultivates students to be senior enterprise elites with international perspective, optimistic and enterprising attitude, modern innovative and international market competitiveness, and business professional capabilities developed both technically and morally.

        HKAC is committed to training all kinds of in-service senior management talents, strengthening the innovative and entrepreneurial abilities of the students, and providing and reserving various kinds of business management talents, international business management talents, economic and financial management talents and business planning elite talents with excellent practical capabilities for enterprises. Besides, HKAC actively promotes innovative and exquisite professional competence education, so as to equip its students with competitiveness in international market and good character, thus enabling the graduates to be highly recognized in the workplace, all sectors of society and international enterprises, and to become business elites contributing to social growth and progress as Takming staff.

       学院的目标是建设国际化的教学环境，致力于经济、金融、商务管理的前沿学术研究，建设一流的“商界军校”，培养有领导力、有自制力、有远大视野的商界领袖。
       The Academy aims to build an international teaching environment, to devote itself to the frontier academic research of economic, financial and business management, to become a first-class “military academy of business”, and to cultivate business leaders with leadership, self-control and broad vision.
       学院充分利用香港和上海两个国际大都会的有利条件，发挥香港和上海两个优势，“立足上海、面向世界”，致力于为政府决策部门、各类企业、以及金融机构培养具有扎实理论基础和实战能力的高级经济、管理、金融和商务人才。
       The Academy makes full use of the advantages of the two international metropolises of Hong Kong and Shanghai, and gives full play to the two advantages of Hong Kong and Shanghai, adheres to the concept of “Shanghai-based and world-oriented”, and is committed to training top economic, management, financial and business talents with solid theoretical basis and practical capabilities for government decision-making departments, enterprises and financial institutions.
        在职学历教育主要目标乃在于为社会与产业培养所需的专业管理人才。这些人才除应具有符合企业所需的专业知识与能力，还应培养价值观与伦理观，独立思考与创新能力，健康体魄，团队合作与领导统御、国际视野与沟通能力。
        In-service academic education is mainly designed to cultivate for the society and industry professional management talents, who should be equipped with professional knowledge and ability as required by enterprises, correct values and ethics, independent thinking and innovation ability, good health, team cooperation and leadership, international outlook and communication skills.
        HKAC以商管、经济、金融、资讯类高级人才教育为发展主轴，语言及其他人文社会类为辅，在符合社会及产业的需求下，以优质、创新为办学愿景，不论在组织与发展，课程规划与整合，教学品质与管理，师资结构与专业，产学合作与研究，软硬体设备与图书，精致设计发展特色，营造精致温馨的学习氛围，打造优质精致的商管学府。
        HKAC takes the education of senior talents in business management, economy, finance and information as its main development axis, supplemented by language and other humanities and social sciences. Under the premise of meeting the needs of society and industry, HKAC takes quality and innovation as its school-running vision, and exquisitely designs development characteristics in terms of organization and development, curriculum planning and integration, teaching quality and management,  faculty structure and specialty, industry-university collaboration and research, software and hardware equipment and books, so as to form a delicate and warm learning atmosphere, and create a high-quality and delicate business management institution.

八、运行机制
V. Operating Mechanism
       HKAC采取市场机制运行，在学院董事会领导下，试行“院长负责制”，主要是考核实际业绩，以及教学质量监管。
       HKAC operates under the market mechanism. Under the leadership of the College Board, it tries to implement the “Dean Responsibility System”, which mainly assesses the actual performance and supervises the teaching quality.

(I) HKAC Board of Directors and Executive Bodies
          HKAC董事会是最高决策机构。HKAC董事暂定5人。其中：
          The HKAC Board of Directors is the highest decision-making body. HKAC tentatively has five directors, including:

          特邀英国利兹贝克特大学（Leeds Beckett University）资深的商学院院长、经济学家Robert Greenwood教授为院长。
          Professor Robert Greenwood, Senior Dean of Business School and Economist of Leeds Beckett University, UK, was specially invited to serve as Dean.
2、法人代表：

2. Legal representative:

          HKAC法人代表，由香港公民、香港德明书院院长张映奎教授担任，同时兼任HKAC常务副院长（主持日常工作）。
          Professor Zhang Yingkui, a citizen of Hong Kong and Dean of Hong Kong Tak Ming College serves as HKAC’s legal representative, while also holding the post of executive vice dean of HKAC (presiding over daily work).
3、独立董事&特邀顾问：

3. Independent director & special adviser:

          聘任上海人才培训市场主任、上海交通大学经济学教授、博士生导师孙志明为HKAC独立董事、特邀顾问兼HKAC上海教学中心主任。
         Sun Zhiming, Director of Shanghai Talent Training Market, Professor of Economics, Shanghai Jiaotong University and Ph.D. Supervisor, was appointed as independent director, special adviser and director of HKAC Shanghai Teaching Center.

(II) Shanghai Teaching Center

         HKAC有意向在上海市选择具有“国际教育”与“高级人才培训”资质、有一定知名度的国家公益性教育培训平台承担HKAC在上海的教学任务。经过HKAC校董事会和专家委员会多轮论证，一致同意选择“上海人才培训市场”合作成立“HKAC上海教学中心”（以下简称“上海教学中心”。
         HKAC intends to choose a national public welfare education and training platform with the qualifications of “international education” and “top talents training” in Shanghai to undertake the teaching tasks of HKAC in Shanghai. After several rounds of demonstration by the HKAC Board and expert committee, it was unanimously agreed to choose “Shanghai Talent Training Market” to cooperate in establishing “HKAC Shanghai Teaching Center” (hereinafter referred to as “Shanghai Teaching Center”).
         先在上海试点，试点成功之后，根据市场发展需求，可酌情在中国长三角地区选择符合条件的城市设立招生点、以及教学中心。
         After the successful pilot program in Shanghai, according to the needs of market development, we can choose eligible cities in the Yangtze River Delta to set up enrollment centers and teaching centers.
        上海人才培训市场是2004年3月经政府主管部门批准，具有“国际合作、人才培训、人才交流、人才评估、信息咨询、考试认证”资质和审批权的专业机构。中国九三学社中央委员会副主席、原上海市副市长谢丽娟为该机构管委会主任（详见：www.china-tt.org）。

        Shanghai Talent Training Market is a professional institute approved by the competent government department in March 2004, which has the qualification and examination and approval authority of “international cooperation, talent training, talent exchange, talent evaluation, information consultation, examination and certification”. Xie Lijuan, Vice Chairman of the Central Committee of the Chinese Jiusan Society and former Deputy Mayor of Shanghai, is the Director of the Management Committee of the Institute (see www.china-tt.org for details).

         1. Pre-examination tutorial training for all kinds of qualification certificates in urgent need in Shanghai.
         2.国家人力资源和社会保障部各类资格证书考前辅导培训；
         2. Pre-examination tutorial training for various qualification certificates of the Ministry of Human Resources and Social Security of the PRC;
         3.雅思考試培训課程；
         3. IELTS training courses;
         4.国家专业技术人员职称考前辅导培训等。

（三）英国专业会计师（ACCA）资格证书考前辅导培训。

十二、师资与教学管理
XII. Faculty and Teaching Management
          部分主干课程师资，由香港聘用，其他课程由上海教学中心协助上海交通大学提供，主体是著名大学资深教授，国家知名专家，或者国际知名大学资深教授承担教学。并且，报HKAC总部同意备案。总部有权抽查和考核上海教学中心师资教学质量。
          Some teachers of the main courses are hired by Hong Kong, while others are offered by Shanghai Jiaotong University with the assistance of Shanghai Teaching Center. Most of the teachers are senior professors from famous universities, national renowned experts or senior professors from internationally well-known universities, approved and filed with HKAC Headquarters. The Headquarters reserves the right to spot check and assess the teaching quality of teachers in Shanghai Teaching Center.
          培养首期学员的教学场地选择上海交通大学徐家汇校区，以及复旦大学、中国金融信息中心外滩学区、中山大学、南京大学。

          The teaching venues for training the first-phase students are Xujiahui Campus of Shanghai Jiaotong University, Fudan University, Bund Campus of China Financial Information Center, Sun Yat-sen University and Nanjing University.

十三、质量控制
XIII. Quality Control
          HKAC成立教学质量管理委员会，管委会主任由学院法人代表常务副院长兼任，由上海教学中心和上海交通大学等教学单位负责人参与。
          HKAC has set up a Teaching Quality Management Committee, with the director being the Legal Representative and Executive Vice-dean of the Academy, and with the participation of the heads of Shanghai Teaching Center, Shanghai Jiaotong University and other academic units.
         教学质量控制权在HKAC，HKAC有权对上海教学中心进行年检评估和监管，以及不定期的教学质量抽查。

HKAC has the right of controlling teaching quality, ans reserves the right to conduct annual inspection, evaluation and supervision of Shanghai Teaching Center, as well as random spot check of teaching quality.

十四、国际大学“学分互认”
XIV. “Mutual Recognition of Credit” of International Universities
          截止2019年1月，国际知名大学已有十多家与HKAC达成国际教育合作与学分互认意向，其中有的大学已经签署了《合作协议》。这些国际大学主要是：香港城市大学，英国利兹贝克特大学（Leeds Beckett University），马来西亚科技大学（ Malaysia University of Science and Technology），洛杉矶加利福尼亚大学（University of California, Los Angeles）、美国圣约瑟夫大学（Saint Joseph's University）、美国伊利诺伊大学香槟分校(University of Illinois - Urbana - Champaign)。加拿大尼普森大学（NIpissing University）、西门菲莎大学（Simon Fraser University）。法国里昂商学院 （EMLYON Business School）法语école de management等。详见www.hkac.edu.hk。

          As of January 2019, more than 10 internationally renowned universities have reached the intention of international educational cooperation and mutual credit recognition with HKAC, and some of them have signed the Cooperation Agreement. Such international universities mainly include City University of Hong Kong, Leeds Beckett University, Malaysia University of Science and Technology, University of California, Los Angeles, Saint Joseph’s University and University of Illinois - Urbana - Champaign, NIpissing University and Simon Fraser University in Canada, EMLYON Business School, France (French: école de management de Lyon). 十五、证书
XV. Certificates
（一）毕业证书
(I) Diploma
          学员修完规定课程、通过论文答辩、成绩合格，由HKAC根据注册学籍分别颁发相关专业《大学专科毕业证书》（副学士）、《大学本科毕业证书》、《研究生毕业证书》，以及《博士生毕业证书》。
After taking the required courses, passing the thesis defense and being academically qualified, HKAC will issue the relevant professional Associate Diploma (Associate Bachelor), Undergraduate Diploma, Postgraduate Diploma and Doctoral Diploma respectively according to the registered student status.
（二）资格证书
(II) Qualification certificate
          获得《研究生毕业证书》，以及《博士生毕业证书》的学员，可以通过“学分互认”，由上海市紧缺人才办公室（简称：市紧缺办）颁发《注册紧缺人才高级企业管理师专业等级资格证书》。
          Students who have obtained the Postgraduate Diploma and Doctoral Diploma can pass the “mutual credit recognition” and be issued the Certificate of Professional Qualification of Registered Senior Business Managers Urgently Needed by Shanghai Urgently Needed Personnel Office (“SUNPO” for short).
（三）学历学位鉴定证书
(III) Certificate of Academic Degree Identification
          成绩合格，获得HKAC颁发的《毕业证书》学员，由上海市人才评估鉴定中心（官网：www.china-ta.org）出具《国际高等教育学历学位鉴定报告》（博士研究生、硕士研究生、本科、大专）。
          Students with qualified performance and the Diploma issued by HKAC will be issued the International Higher Education Academic Degree Appraisal Report (doctoral, postgraduate, undergraduate, college) by Shanghai Talent Evaluation and Identification Center (official website: www.china-ta.org).
（四）DBA/EMBA/MBA课程证书
(IV) DBA/EMBA/MBA Course Certificate
          毕业学员分别由上海交通大学、中山大学、南京大学所属机构出具课程证书。

          Graduates are certified by institutions affiliated to Shanghai Jiaotong University, Sun Yat-sen University and Nanjing University.

十六、HKAC学籍注册和查询
XVI. HKAC Registration and Enquiry
          经香港政府主管部门正式批准注册建立的HKAC官方网站网址为：www.hkac.edu.hk。所有学员的学籍在HKAC官方网站，以及目前国家唯一独立第三方专业学历学位认证机构---上海市人才评估鉴定中心官网（www.china-ta.org）均同时注册、常年可以查询。

          The official website of HKAC, which has been officially approved and registered by the competent authorities of the Hong Kong Government, is www.hkac.edu.hk. All students’ status are registered on the HKAC’s official website and on the website of Shanghai Talent Evaluation and Identification Center (www.china-ta.org), the only independent third-party professional academic degree certification institution in China.
